PROFESSIONAL EXPERIENCE AND FIRM RESPONSIBILITIES

At Present:

·        Partner, Taylor Leibow LLP Accountants and Advisors business valuations and litigation support department (since January 1, 1998).  Responsible for overseeing and co-ordinating all aspects of Business Valuation and Litigation Support assignments for various clients from within and outside the firm’s regular client base.  The business valuations and litigation-support department also co-ordinates the firm’s transaction advisory services, and forensic- and investigative-accounting practices.

·       AIC Industry Professor in Strategic Business Valuation, DeGroote School of Business, McMaster University, Hamilton, Ontario (since January 1, 2008).  Responsible for teaching Business Valuation and Financial Modelling courses to second-year students in the Masters of Business Administration program.  Also involved in setting course curricula for the above-noted courses and in program development of the Strategic Business Valuation specialization.

·        Speaker at the 3rd Annual LexisNexis Commercial Litigation Conference in February, 2006 on the topic of Heads of Damage Beyond Value for Minority Shareholder Oppression Actions;

·        Speaker, 6th Annual M&A Valuation or CFO’s Conference, sponsored by Federated Press, March 22-24, 2005.  Topic presented was Intrinsic Valuation of Acquisition Targets.

·        Speaker and session chair, 5th Annual M&A Valuation or CFO’s Conference, sponsored by Federated Press, February 24-25, 2004.  Topic presented was Valuing Acquisition Targets on a Stand-Alone Basis.

·        Speaker at the McMaster University World Congress on Intellectual Capital in January of 2003.  Topic presented was The Valuation of Intangible Assets.

·        Leader of a panel discussion group on the Valuation of Small and Medium Sized Enterprises presented in conjunction with the Federated Press “Valuations for CFO’s” conference in September, 2002. 

·        Author of a journal article for Federated Press entitled “Valuing Acquisition Targets on a Stand-Alone Basis”.  Highlights from the paper were presented at the M&A Valuation for CFO’s Conference on January 23, 24 & 25, 2001.

·        Author of a journal article for Federated Press entitled “The Valuation and Pricing of Intangible Assets”.  Highlights from the paper were presented at the Valuation Summit Conference on October 27 & 28, 1999.

·        Member of the exam marking team for the CICBV Membership Entrance Exam (“MEE”), 1998 through 2000.  Exam question author, 1998 MEE.

·        Attendance at numerous seminars related to Business Valuation and Damage Quantification including most of the recent regional and national conferences sponsored by the Canadian Institute of Chartered Business Valuators, the American Institute of Certified Public Accountants Business Valuation and Litigation Support Conference, November of 2005 and the
5th Joint Advanced Business Valuation Conference sponsored by both the American Society of Appraisers and the Canadian Institute of Chartered Business Valuators, 2002.

·        Member of the Executive Committee (Treasurer and Chairman of the Finance Committee) of the Board of Directors of the Juravinski Cancer Centre Foundation, from 2001 to 2006.

PROFESSIONAL ENGAGEMENT HIGHLIGHTS

·        Since 1998, practice restricted to Business Valuation, Litigation Support, Mergers & Acquisitions, Divestitures, Forensic and Investigative Accounting and transaction-advisory services.

·        Recognized in the Ontario Superior Court of Justice as an expert witness in the areas of:

              ·        Business Valuation;

              ·        Imputed-income calculations for family-law purposes;

              ·        Investigative and forensic accounting;

              ·        Quantification of economic damages; and

              ·        Income-tax matters

·        Prepared valuation reports and fairness opinions in connection with more than 500 business interests and business-like assets in a wide variety of industries for purposes of legal disputes, income-tax reorganizations, potential purchase or sale transactions, financial reporting, family-law matters and other matters.

·        Prepared more than 250 reports related to the quantification of economic damages for litigation purposes.  Matters dealt with include shareholder disputes, breaches of contract, personal injury, insurance claims, and forensic investigations.

·        Provided evidence as a Business Valuation expert in examinations for discovery in connection with applications under Section 248 of the Ontario Business Corporations Act (oppression remedy) and other similar legislation.

·        Preparation of a report setting out the Fair Market Value of intangible property in connection with a restructuring transaction involving a publicly listed company.

·        Preparation of a Fairness Opinion with respects to intangible property in connection with a restructuring transaction involving a publicly listed company.

·        Prepared a report outlining the quantum of income derived from illegal activities under proceeds-of-crime legislation.

·        Assisted numerous companies in pursuit of mergers, acquisitions, divestitures, and corporate-finance initiatives.

·        Provided other services in the areas of economic research and preparation of financial analysis for the purposes of negotiation and business management.

PERSONAL ACHIEVEMENTS

·        At present, on a hiatus from competitive swimming to focus on family, career, and other ambitions.

·        2006 & 2007 – Head coach of the Blue Jays in the Ancaster Baseball
T-Ball Division.

·        2005 – Ontario Record in the 400-yard Individual Medley, 40-44 age group.

·        Member of the Ancaster Master’s Swim Club.  2004 Provincial Champion in the 200M Freestyle, 100M Butterfly, 200M Butterfly, 200M Individual Medley, and 400M Individual Medley.

·        2004 Canadian silver medallist in the 400M Individual Medley, bronze medallist in the 100M Butterfly, 800M Freestyle and the 400M Freestyle.

·        2004 – Ontario Record in the 100 yard Individual Medley, 35-39 age group.

·        2002 Provincial Champion in the 35-39 age category in the 400M Individual Medley and 100M Butterfly.

·        In 2002, ranked 6th in the world in the 400M individual medley and 10th in the world in the 200M individual medley for the 35-39 age category.

·        Member of the Burlington Masters Swim Club Canadian record-setting
4 X 200M Freestyle relay team – 2001.

·        2000 Canadian Champion in the 35-39 age category in the 200M Individual Medley, 400M I.M., and the 400M Freestyle – silver medallist in the 200M Freestyle and 200M Butterfly – bronze medallist in the 100M Butterfly. 

·        In 2000, ranked 2nd in the world in the 400M individual medley and 8th in the world in the 200M individual medley for the 35-39 age category.

·        Assistant coach, Hamilton Mohawks Softball Club - 1998.

·        Head Coach, McMaster University Men’s Varsity Water Polo team - 1996.  Named the OUAA coach of the year.  Assistant Coach – 1993 – 1995.

·        Assistant coach, Palmerston Blue Lites Ladies Fastball team, 1995 & 1996.

·        Treasurer, Hamilton Aquatic Water Polo Club, 1986 - 1997 - President, 1994.

·        Member of the McMaster University Varsity Water Polo team and Varsity Swim team, 1984-1988.  Selected as Captain of the Varsity Swim team in Junior and Senior years.  Selected “Most Valuable Player” 1988.

·        Senior Athlete of the Year and Valedictorian of the graduating class of Westmount Secondary School, 1983.

·        Married for twelve years to my darling wife Tracy and the proud father of two young children.
